A core decades-old strategy of the Firm is the maintenance of a strong banking and finance expertise. From its inception the Firm acted for local institutional lenders and banks in traditional financing but following the country’s post-independence industrial development, the Firm built and continues to maintain strong relationships with international banks, financial institutions, lending agencies, sovereign states and global development institutions by acting as the local Counsel alongside international and regional counsel in large scale multi-jurisdictional financings.
Over the years the Firm has acted in upstream financing of onshore and maritime exploration, mid-stream LNG Plants and downstream gas processing, methanol, fertilizer, urea and ammonia plants. Outside the energy sector it has acted in financings of steel, desalination, paper, food and beverage plants, residential, retail and commercial construction projects and aircraft leasing and finance. The Firm has also acted as lead Counsel in Bond issues by local conglomerates as well as the Trinidad and Tobago and other Caribbean Governments.
In all cases the Firm seeks to use its deep knowledge of domestic law and practice to add value by tailoring financial instruments to suit local conditions and the limitation and challenges presented by revenue laws, borrowing thresholds and guidelines and Government approvals. The Firm regularly advises on regulatory issues affecting the financial sector and the securities and insurance industries. As a consequence many of the forms originally devised by the Firm are in widespread local use.
Because the Firm has acted for both lenders and borrowers, members of the Banking and Finance team tend to have a full understanding of the competing interests and are well placed to assist in their resolution. As a result they are regularly included in the negotiating teams of both lenders and borrowers.
Post-closing, the Firm’s banking and finance teams also provide critical support in advising on enforcement and efficacy of security documents and in litigation, provide the Firm’s litigators with support in insolvency and recovery actions.
